Senior Commercial Counsel
The Role
GeoComply is looking for a Senior Commercial Counsel to serve as a key driver across our highest-value revenue agreements and strategic commercial initiatives. In this role, you will act as a trusted legal and business partner to our Executive and GTM leadership, leading novel contract negotiations, navigating privacy and emerging tech regulations, and building scalable legal processes.
We are looking for an autonomous, business-minded lawyer who can combine sharp analytical judgment with strong executive presence to protect our interests, mentor junior counsel, and support our rapid global expansion.
Key Responsibilities
- Own and lead the commercial contract lifecycle of GeoComply's most complex and highest-value revenue generating agreements, including enterprise license agreements, strategic partnership and channel agreements, master services agreements, and cross-border data and licensing arrangements.
- Serve as the primary legal point of contact for internal revenue stakeholders (including VP and executive level) and external counterparties, driving negotiation strategy on high-stakes or precedent-setting deals.
- Partner with go-to-market and product stakeholders to proactively collaborate on a variety of legal-related launch considerations, including commercial market initiatives, risk identification and mitigation measures, intellectual property considerations, and privacy and data governance matters.
- Draft, review, and negotiate various other major commercial agreements with customer, vendors and other parties, including non-disclosure, consulting, licensing, leasing, supplier, and data processing agreements
- Monitor and advise on the legal and regulatory implications of emerging technology, AI, and data governance trends on GeoComply's commercial contracting practices.
- Advise on privacy, data ownership, and regulatory considerations embedded in commercial contracts and product offerings.
- Champion the development and use of templates, software, automation, AI and other technologies across business units (Sales, Product, Finance, Revenue Operations) to increase the efficiency of the contracting processes.
- Own and evolve GeoComply's contract playbooks, negotiation positions, and workflows across multiple agreement types, treating these as living assets that scale with the business.
- Mentor and provide day-to-day guidance to other legal team members.
- Work with and manage relevant external legal advisors, as needed.
- Support other members of the Legal leadership team with setting annual goals, strategic priorities, KPIs, and team culture building.
Who You Are
- Law degree and full qualification to practice law in an in-house environment in North America.
- 8+ years experience as a lawyer in a top-tier law firm and/or in-house department, ideally in a high-growth tech, SaaS, regulated-technology or gaming environment.
- Demonstrated experience independently leading complex, high-value, or novel commercial negotiations end-to end, without close supervision.
- Deep expertise in commercial contracts, with particular strength in emerging technology, software/data licensing, privacy/data governance and complex partnership or channel structures.
- A proven track record of working with and advising North American headquartered, global businesses on cross-border legal functions would be an asset.
- Experience advising on and managing legal risk in commercial litigation matters.
- Proven ability to mentor, coach, and elevate the work of more junior legal team members.
- Exceptional analytical and problem-solving skills, with the judgment to distill highly complex legal and commercial issues into clear, decisive, and well-supported recommendations for executive audiences.
- Track record of building or meaningfully improving legal processes, playbooks, or templates at scale, not just using them.
- A strategic mindset: someone who can zoom out from a single deal to see patterns, systemic risk, and opportunities to improve how the business contracts.
- Accuracy and attention to detail remain essential, even while operating at a higher altitude of judgment and delegation.
- Excellent executive-level communication skills, both verbal and written, with credibility in front of senior leadership and sophisticated external counterparties.
- A client-service mindset paired with the confidence to push back on the business when risk warrants it.
- Comfort operating with significant autonomy in a dynamic, transaction-heavy, rapidly evolving environment with competing deadlines and limited precedent.
